1. Who we are

CoLabel is a label management platform operated by KOMANDA STUDIO UNIPESSOAL LDA ("CoLabel", "we", "us"), Rua Principal 1028 Zambujeiro, 2755-307 Alcabideche, Cascais, Portugal, Tax ID PT518580245, legal@colabelms.com.

These Terms govern your use of the CoLabel service: the web app at app.colabelms.com, the CoLabel extension for Adobe Illustrator, and the connection that lets AI apps work with CoLabel (together, the "Service"). By creating an account or using the Service, you agree to them.

If you use the Service for a company, you confirm that you may bind that company to these Terms. If your company has signed an agreement with us (for example an Enterprise agreement or a data processing agreement), that agreement prevails where it differs from these Terms.

2. Eligibility

You must be at least 16 years old and able to enter into a binding agreement.

3. Accounts and workspaces

Your account. Keep your sign-in details to yourself; you are responsible for what happens under your account. Tell us at once at support@colabelms.com if you think someone else has used it.
Workspaces. Content lives in workspaces. The workspace owner and its admins decide who is a member and with which role (admin, editor, designer, commenter, viewer). Each role can do only what it allows.
Share links. A share link opens one file to anyone who holds the link. You decide when to create one and can revoke it at any time.

4. The Service

CoLabel lets you store and organise label artwork by product, market and SKU; keep every version; compare versions; manage label content fields and keep the artwork in step with them; work on labels in Adobe Illustrator through the CoLabel extension; comment and review; generate and check barcodes; create and track dynamic QR codes; update many labels in one run; archive what you no longer sell; connect your own cloud storage; export your data; and connect AI apps that work with your labels on your behalf.

We improve the Service continuously. We may change or remove features, with reasonable notice where a change takes away something you rely on.

5. Plans, trials and payments

5.1 Plans. Paid plans differ by scale — mainly the number of product labels you manage (each printed label design you manage, with all its files and versions included), users and storage. Current plans and prices: colabelms.com/pricing.

5.2 Trials. Some plans start with a free trial (currently 30 days). Unless you cancel before the trial ends, the first payment is taken when it ends.

5.3 Billing. Plans are billed in advance, monthly or yearly, in euros, excluding taxes unless stated. Payments are processed by Stripe.

5.4 Renewal and cancellation. Subscriptions renew automatically at the end of each period. You can cancel at any time; the plan stays active until the end of the period you have paid for, and is not renewed. Cancelling never deletes anything. If what you hold is more than the Free plan allows, the workspace becomes read-only — everything stays viewable and downloadable — until you upgrade again or reduce it. Archived labels do not count toward a plan.

5.5 Refunds. You can ask for a full refund within 14 days of your first payment for a paid plan by writing to support@colabelms.com. This does not apply when that payment follows a free trial (the trial is the time to try CoLabel), nor to renewal payments. Charges taken in error are always refunded.

5.6 Price changes. We give at least 30 days' notice of a price change. It applies from your next billing period.

6. Your content

6.1 It is yours. You keep all rights to what you upload or create in CoLabel — artwork, label content, comments, fonts, barcode files, images and other files ("Your Content").

6.2 What you allow us. You allow us to store, process, display, copy and transmit Your Content only as needed to run the Service for you — for example to render artwork, compare versions, read text from artwork, send it to an AI model when you use an AI feature, and make backups.

6.3 Your responsibility. You confirm that you have the rights to everything you upload and share. This includes fonts: fonts you save to a product are made available to the members of that workspace and may be switched on, on their computers, when they open the product's artwork — you must hold a licence that allows this. The same applies to barcode artwork, images and any third-party material.

7. AI features

Some features use AI models: reading text from artwork into content fields, translating, fixing spelling, comparing content across your markets, and checking content against CoLabel's Knowledge Base.

AI results can be wrong. They are suggestions, not legal, regulatory or compliance advice. Nothing an AI feature writes is saved until you approve it, and you remain responsible for checking every label before it is printed.
The Knowledge Base summarises labelling requirements as guidance. It can be incomplete or out of date; check anything that ships with a regulatory expert.

8. AI apps you connect

You can connect an AI app (for example Claude or ChatGPT) to one workspace, with read access or read-and-change access. The app then acts as you, within your role and folder access, and everything it does is recorded under your name. You are responsible for what you ask it to do. The AI app is provided by its own company under its own terms; we are not responsible for it. You can revoke the connection at any time in your profile settings.

9. Setup and support

At your request, our team can work inside your workspace — for example to set it up from your existing files, connect artwork, or help with a problem. We do this only when you ask, only for that purpose, and the changes are recorded in the workspace's history like anyone else's.

10. Acceptable use

Do not use CoLabel for anything unlawful; do not upload malware or content you have no right to; do not try to access accounts, workspaces or data that are not yours; do not interfere with or overload the Service; do not get around plan limits; and do not access the Service by automated means other than the AI app connection and interfaces we provide. We may suspend access that breaks these rules — at once, for serious cases.

11. Our intellectual property

CoLabel's software, design, Knowledge Base, documentation and trademarks belong to KOMANDA STUDIO UNIPESSOAL LDA. You may use them only as part of the Service and may not copy, modify or reverse-engineer them.

12. Third-party services

The Service works with services run by others — for example Adobe Illustrator, Google and Microsoft (sign-in, cloud storage), Stripe (payments) and the AI apps you connect. Your use of them is governed by their own terms.

13. Availability and warranties

We work to keep CoLabel available and your data safe, but the Service is provided "as is" and "as available", without warranties of any kind to the extent the law allows.

14. Limitation of liability

Our total liability for all claims is limited to the greater of the fees you paid us in the 12 months before the claim, or €100. We are not liable for indirect or consequential loss, including lost profits, or for the content of printed labels you approved. These limits do not apply where the law does not allow them, such as for intent or gross negligence.

15. Indemnity

You will hold KOMANDA STUDIO UNIPESSOAL LDA harmless from claims that arise from Your Content (including fonts and other licensed material) or from your breach of these Terms.

16. Ending

You can delete your account or workspace at any time. We may end or suspend the Service for a breach of these Terms or where the law requires it. Before deleting a workspace, take a copy with Export Your Data; deletion is permanent (see the Privacy Policy, section 9).

17. Changes to these Terms

We will give you 30 days' notice of material changes, by email or in the app. Continuing to use CoLabel after that means you accept them.

18. Law and disputes

Portuguese law applies. The courts of Cascais, Portugal, have exclusive jurisdiction. If you are a consumer in the EU, you keep the mandatory protection of the law of your country of residence.

19. General

These Terms, the Privacy Policy and the Cookie Policy are the entire agreement between you and us about the Service, unless you have signed another agreement with us (section 1). If a provision is invalid, the rest remains in force. The English version prevails.
